General Terms and Conditions of aperolino GmbH

This English version is a courtesy translation provided for convenience only. The German version of these General Terms and Conditions is legally binding.

01Services

aperolino GmbH (hereinafter «aperolino») undertakes to perform orders with due care, professionally and on schedule. aperolino warrants the proper execution of the agreed event.

02Order confirmation

A contract is concluded as soon as the client accepts the quotation in writing (e.g. by signature or confirmation by email).

The signed quotation shall be deemed a binding order confirmation.

Additional services exceeding the scope of the agreed quotation shall be invoiced separately.

03Prices

The prices agreed in the quotation or order confirmation shall apply.

aperolino reserves the right to adjust prices appropriately depending on the season, demand or due to exceptional circumstances (in particular energy crises, supply shortages or significant cost increases for energy, goods or personnel).

In all cases, the prices of the confirmed quotation shall be authoritative.

If the event lasts longer than agreed, the additional hours of service shall be charged.

No night-time surcharges are currently levied on personnel costs (as at the time the quotation is prepared).

04Validity of quotations

Unless otherwise stated, quotations are valid for 14 days from the date of issue.

05Cancellation by the client

In the event of cancellation after the order has been confirmed, the following charges shall become due:

  • ◆More than 3 months before the event: CHF 700
  • ◆60 days before the event: 60 % of the order total, minimum CHF 500
  • ◆30 days before the event: 70 % of the order total, minimum CHF 500
  • ◆14 days before the event: 80 % of the order total
  • ◆Less than 10 days before the event: 100 % of the order total

06Force majeure and energy crises

(1) Events of force majeure, in particular natural events, severe weather, pandemics, orders by public authorities, traffic disruptions, illness and energy crises (in particular shortages of electricity, gas or fuel, or restrictions on energy supply imposed by public authorities), which lie outside the sphere of influence of aperolino GmbH, shall entitle aperolino to suspend, adjust or postpone the service in whole or in part.

(2) In such cases, the client shall have no claim to damages.

(3) Should the execution of the event become substantially more difficult economically due to energy shortages or significantly increased energy or procurement costs, aperolino shall be entitled to make appropriate price adjustments. The client shall be informed of this in good time.

(4) If the event cannot take place due to such circumstances, the client shall reimburse any expenses already incurred.

(5) If an event of force majeure lasts longer than 30 days, both parties shall be entitled to withdraw from the contract.

07Client’s duty to cooperate

The client shall ensure that the necessary infrastructure (in particular power connections and, where applicable, water) is available in functional and adequate condition.

Missing or inadequate infrastructure may lead to restrictions of the service, without giving rise to any claims against aperolino.

08Weather conditions (outdoor events)

Outdoor events shall in principle take place even in unfavourable weather conditions, provided that holding the event is reasonable and safe.

The client shall be responsible for suitable protective measures (e.g. roofing or cover), unless otherwise agreed.

09Food and allergies

aperolino accepts no liability for allergic reactions or intolerances unless these have been expressly communicated to the provider in advance.

The client shall be responsible for passing on the relevant information in good time.

10Marketing

aperolino shall be entitled to document and publish events for marketing purposes (e.g. on social media).

The client may object to such use at any time.

11Liability

aperolino shall be liable exclusively for damage demonstrably caused by its own fault or the fault of its employees.

The client or the person causing the damage shall be liable for damage caused by guests or third parties.

12Terms of payment

Invoices are payable within 14 days of the invoice date without deduction.

13Severability clause

Should individual provisions of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

The parties undertake to replace the invalid provision with a provision that comes as close as possible to its economic purpose.

14Applicable law and place of jurisdiction

These terms are governed exclusively by Swiss law.

The place of jurisdiction is the registered office of aperolino GmbH.
